These Terms of Use (“Terms”) govern your access to and use of www.thrivedtsp.com and related Website features operated by TJM Thrive, LLC, doing business as Thrive DTSP (“Thrive DTSP,” “Thrive,” “we,” “us,” or “our”).
Please read these Terms carefully. By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.
These Terms govern use of the Website. They do not replace any separate Membership Agreement, workspace agreement, virtual office agreement, event agreement, booking terms, house rules, or other agreement that may apply to services purchased from Thrive.
1. About Thrive DTSP
TJM Thrive, LLC operates Thrive DTSP, a coworking and professional workspace community in Downtown St. Petersburg, Florida.
Through the Website, visitors may learn about or, where available, inquire about, schedule, reserve, register for, or purchase services such as:

coworking memberships;

dedicated desks;
-
private offices;
-
virtual office and business-address services;
-
day passes;
-
meeting rooms;
-
event spaces;
-
tours;
-
community events and programming; and
-
other workspace-related services.
Available services, features, amenities, prices, and terms may change.
2. Eligibility
The Website and Thrive's services are intended primarily for adults and professional users.
You must be at least 18 years old to independently create an account, enter into a binding purchase or service agreement through the Website, or purchase Thrive services unless Thrive expressly permits otherwise.
If you use the Website on behalf of a company or other organization, you represent that you have authority to act on behalf of that organization with respect to your Website activities.
3. Website Accounts
Certain Website features may permit you to create an account.
You agree to:

Member services may also be available through a separate member portal. Additional platform terms and membership agreements may apply to use of that portal.

You may use the Website for lawful personal and business purposes consistent with these Terms.

Thrive seeks to provide useful and accurate information, but Website content may occasionally contain errors, omissions, outdated information, or technical inaccuracies.
Information concerning availability, pricing, amenities, office configurations, events, schedules, membership benefits, operating hours, and other services may change.
Website descriptions are provided for general informational purposes unless expressly incorporated into a separate written agreement.
You should confirm material details with Thrive before relying on Website information to make significant business or financial decisions.
6. Pricing and Availability
Prices displayed on the Website may represent current prices, starting prices, promotional prices, or pricing applicable to particular service configurations.
Workspace, office, parking, meeting room, event space, membership, and other availability may change.
Thrive may modify its publicly offered services and pricing prospectively, subject to existing contractual obligations and applicable law.
A Website listing does not guarantee that a particular office, desk, room, membership, amenity, date, or service remains available.
7. Purchases, Reservations, and Memberships
The Website may permit you to purchase or reserve memberships, day passes, meeting rooms, event spaces, and other services.
Additional terms may be presented during checkout, booking, onboarding, or contracting.
Purchases, memberships, reservations, workspace use, and other Thrive services may be subject to separate:

Membership Agreements;

workspace or office agreements;

virtual office agreements;

booking terms;
-
cancellation or refund policies;

event agreements;

house or community rules;
-
guest policies; or
-
other service-specific conditions.
You agree to review applicable terms before completing a transaction.
If a separate signed or accepted service-specific agreement conflicts with these Website Terms concerning the applicable service, the service-specific agreement will control with respect to that service to the extent of the conflict.
These Terms are not a Membership Agreement and do not independently establish rights to occupy or use Thrive's physical premises.
8. Payments
When purchasing services through the Website, you agree to provide accurate and authorized payment and billing information.
Payments may be processed by third-party payment service providers. Your transaction may therefore also be subject to the provider's applicable terms and privacy practices.
Thrive does not guarantee that a transaction will be accepted or completed merely because a purchase option appears on the Website.
Applicable taxes, fees, deposits, setup fees, or other charges should be disclosed in connection with the relevant purchase or separate service agreement where required.
9. Cancellations and Refunds
Cancellation, rescheduling, and refund rights may differ depending on the service purchased.
Applicable cancellation and refund provisions may be presented at checkout, during booking, or in a separate Membership Agreement, booking agreement, event agreement, or other service-specific policy.
Nothing in these Website Terms creates a general cancellation or refund right beyond rights provided in an applicable agreement or required by law.
10. Tours, Events, and Bookings
Tours, meetings, events, and other activities may be scheduled through Thrive or third-party scheduling and booking platforms.
A request or submission does not necessarily constitute a confirmed reservation unless confirmation is provided.
Individual events, bookings, and facility uses may be subject to additional conditions, including capacity restrictions, cancellation rules, conduct requirements, releases, or other terms disclosed separately.
11. Member Portal and Third-Party Services
Certain Website functions may connect to third-party services, including member-management, scheduling, booking, payment, email, mapping, social media, or other platforms.
Thrive currently uses third-party technology in connection with certain services, including Wix, Yardi Kube, and Acuity Scheduling.
Your use of a third-party service may be governed by that provider's terms and privacy policy.
Thrive is not responsible for the independent operation, security, availability, or policies of third-party platforms that it does not control, except to the extent responsibility cannot lawfully be excluded.
12. Intellectual Property
Unless otherwise indicated, the Website and its original content, including text, graphics, photographs, videos, designs, logos, branding, page layouts, downloadable materials, and other content, are owned by TJM Thrive, LLC, licensed to TJM Thrive, LLC, or used with permission, and are protected by applicable intellectual property laws.
Thrive DTSP's names, logos, branding, and related identifiers may constitute trademarks or other protected brand assets regardless of whether they are federally registered.
No ownership rights are transferred to you by your use of the Website.
Limited permitted use of Website content is described in Thrive's Copyright Policy.
13. User Submissions
If you voluntarily submit content to Thrive for potential publication or promotional use—including a testimonial, review, photograph, video, event description, logo, company description, or other material—you represent that you have the rights and permissions necessary to provide that material.
Where Thrive intends to publicly use personally identifiable testimonials, photographs, videos, or similar promotional material, separate permission, consent, or release practices may apply.
You may not submit content that:

infringes another person's rights;

is unlawful or fraudulent;

contains malicious code;

violates another person's privacy;

is defamatory or threatening; or

falsely represents your affiliation with another person or organization.
The specific rights granted to Thrive for submitted content may be governed by the consent, release, submission terms, or agreement associated with that content.
14. Testimonials and Reviews
The Website may display testimonials, reviews, and statements from Thrive members, customers, or community participants.
Testimonials describe individual experiences and opinions and do not guarantee that every user will have the same experience.
Third-party reviews may also be subject to the policies of the platform on which they originally appeared.

Links are provided for convenience and do not necessarily mean Thrive endorses or controls the third party.
Thrive is not responsible for third-party websites, content, privacy practices, products, or services.
16. Website Availability
We may modify, suspend, restrict, or discontinue all or part of the Website or a Website feature at any time, subject to applicable law and existing contractual obligations.
We do not guarantee uninterrupted, error-free, or continuously available Website access.
Scheduled maintenance, technical failures, third-party outages, security incidents, internet disruptions, or circumstances outside Thrive's reasonable control may affect Website availability.
17. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TJM THRIVE, LLC DISCLAIMS WARRANTIES REGARDING THE WEBSITE, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
TJM THRIVE, LLC DOES NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, SECURE, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.
Nothing in this section limits warranties or rights that cannot lawfully be excluded.
18. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TJM THRIVE, LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, REPRESENTATIVES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF, OR INABILITY TO USE, THE WEBSITE.
THIS LIMITATION APPLIES TO WEBSITE-RELATED CLAIMS AND IS NOT INTENDED TO REPLACE OR ALTER LIABILITY PROVISIONS CONTAINED IN A SEPARATE MEMBERSHIP, EVENT, WORKSPACE, OR OTHER SERVICE AGREEMENT.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
19. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless TJM Thrive, LLC and its owners, officers, employees, representatives, and agents from third-party claims, damages, liabilities, costs, and reasonable expenses arising from your unlawful use of the Website, your material violation of these Terms, or content you submit that infringes the rights of another person.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles.
Subject to applicable law and any controlling service-specific agreement, legal proceedings arising from these Website Terms will be brought in a state or federal court having jurisdiction in Pinellas County, Florida.
These Website Terms do not impose mandatory arbitration or a class-action waiver.
A separate Membership Agreement or other service-specific agreement may contain different dispute-resolution provisions. Where applicable, those provisions govern disputes arising under that agreement.
21. Changes to These Terms
Thrive may update these Terms periodically.
When changes are made, the “Last Updated” date will be revised.
Material changes may also be communicated through the Website or other reasonable means.
Changes will apply prospectively from their effective date unless applicable law requires otherwise.
22. Severability
If a provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
23. No Waiver
Thrive's failure to enforce a provision of these Terms on one occasion does not waive its right to enforce that provision later.
